By accessing or using Repli’s website, applications, or services (the “Service”), you agree to be bound by these Terms. If you do not agree, do not use the Service.

Repli is a software platform designed to help businesses improve their online visibility across search engines and AI-driven discovery systems by automating content creation, analysis, and related workflows.

Repli is built and operated in Finland and provided as a subscription-based software service.

2. Eligibility

You must be at least 18 years old and legally capable of entering into a binding agreement to use the Service. If you are using Repli on behalf of a company, you represent that you have authority to bind that entity.

3. Accounts & Access

To access certain features, you may be required to create an account. You are responsible for:

• Maintaining the confidentiality of your login credentials

• All activity occurring under your account

• Ensuring information you provide is accurate and up to date

• We reserve the right to suspend or terminate accounts that violate these Terms.

4. Use of the Service

You agree to use Repli only for lawful purposes and in compliance with applicable laws and regulations.

You may not:

• Use Repli to generate or publish unlawful, misleading, or harmful content

• Attempt to reverse engineer, abuse, or interfere with the Service

• Use the Service in a way that violates third-party rights or platform policies

Repli provides tools and automation, but you remain responsible for reviewing, approving, and publishing content generated through the Service.

5. Content & Data

Your Content

You retain ownership of content, data, and materials you provide to Repli (“User Content”).

By using the Service, you grant Repli a limited, non-exclusive license to process your content solely to provide and improve the Service.

Generated Content

Content generated by Repli is provided “as is” and may require human review. Repli does not guarantee rankings, visibility, or outcomes.

6. Data Processing & Third-Party Services

To deliver the Service, Repli processes data using its technical stack, which may include:

• Cloud infrastructure and hosting providers

• Database services (e.g. Supabase)

• AI and data APIs (e.g. OpenAI, Anthropic, search and keyword APIs)

• Analytics, billing, and payment processors (e.g. Stripe)

User data is processed only as necessary to provide the Service and improve functionality. Personal data is not sold or publicly shared.

7. Waitlist & Marketing Communications

If you join Repli’s waitlist, your email address may be used to:

• Notify you about product updates or launch information

• Share relevant product-related communications

8. Billing & Payments

Paid plans are billed via third-party payment providers such as Stripe.

By subscribing, you agree to:

• Pay all applicable fees

• Provide accurate billing information

• Allow recurring charges where applicable

All fees are non-refundable unless otherwise stated or required by law.

9. Availability & Changes

We may modify, update, or discontinue parts of the Service at any time. We do not guarantee uninterrupted availability.

We may update these Terms periodically. Continued use of the Service after changes constitutes acceptance of the updated Terms.

10. Disclaimers

The Service is provided “as is” and “as available.”

Repli does not guarantee:

• Search rankings

• Traffic levels

• AI visibility or business outcomes

You use the Service at your own risk.

11. Limitation of Liability

To the maximum extent permitted by law, Repli Oy shall not be liable for indirect, incidental, or consequential damages, including loss of profits, data, or business opportunities.

Our total liability for any claim shall not exceed the amount paid by you to Repli in the preceding 12 months.

12. Termination

You may stop using the Service at any time. We may suspend or terminate access if you violate these Terms or misuse the Service.

Termination does not affect obligations incurred prior to termination.

13. Governing Law

These Terms are governed by the laws of Finland, without regard to conflict-of-law principles.

Any disputes shall be resolved in Finnish courts.
